During the term of this Contract
all technical documentation
including but not limited to manufacturing technologies
procedures
methods
formulas
data
techniques and know-how
to be provided by one Party to the other shall be treated by the recipient as "Confidential Information". Each Party agrees to use Confidential Information received from the other party only for the purpose contemplated by this Contract and for no other purposes. Confidential Information provided is not to be reproduced in any form except as required to acplish the intent of
and in accordance with the terms of
this Contract. Title to such information and the interest related thereto shall remain with the provider all the time.
合同有效期内，所有对方提供的技术文档，包括但不限于生产技术，流程，方法，配方，工艺以及专有技术，接收方都应视作“保密信息”对待。各方一致同意按照合同规定使用对方的保密信息，不得擅自挪作他用。除非合同条款要求或者规定，否则双方不得以任何形式复制对方的保密信息。保密信息所有权以及产生的相关利益均归信息提供方所有。
Each Party shall provide the same care to avoid disclosure or unauthorized use of the other Party’s Confidential Information as it provides to protect its own similar proprietary information. Confidential Information must be kept by the recipient in a secure place with access limited to only such Party’s employees or agents who need to know such information for the purpose of this Contract and who have similarly agreed to keep such information confidential pursuant to a written confidentiality agreement which reflects the terms hereof. The obligations of confidentiality pursuant to this Article shall survive the termination or expiration of this Contract for a period of five (5) years.
各方需像对待己方保密信息一样避免对方保密信息泄露或被侵权使用。接收方需存放保密信息于安全之处。保密信息的使用目的必须符合合同中所涉条款的规定，仅对有必要了解该信息的公司员工或代理人开放，且信息使用人需签订反映本条款的书面保密协议，保密协议有效期需至本合同终止或期满5年为止。
